Peoples National Bank of Kewanee to Acquire First National Bank of Dwight

November 22, 2017

Peoples National Bank of Kewanee and First National Bank of Dwight are jointly announcing that they have reached an agreement by which Peoples National Bank of Kewanee will purchase First National Bank of Dwight. The agreement is contingent upon the approval of bank regulatory agencies which typically takes 4 to 6 months.

As a result, the transaction will likely close in the first or second quarter of 2018. In addition to its main office in Dwight, First National Bank of Dwight has a branch in Seneca, IL.

Peoples National Bank President Chip Eastman stated “We are extremely pleased to have the opportunity to acquire such a great community bank. Both the Dwight and Seneca communities offer excellent opportunities for us. We have always been, and will continue to be, a strong supporter of the communities that we serve and look forward to active involvement in both communities and their surrounding area.”

First National Bank of Dwight President Robert Maierhofer said “Peoples National Bank has positioned itself much like First National, being committed to a strong and safe Community Bank with an excellent reputation in the communities they serve.”

Maierhofer continued, “In today’s financial environment that is heavily weighted on compliance and regulation, along with the need to invest in technology to meet the needs of the consumer, it has forced all banks to make a decision how it positions itself in this competitive environment moving forward. One would like to think that every bank can still operate like it did 5 or 10 years ago, but that’s just not a realistic approach as we look at this rapidly changing world of banking today.”

“This merger will allow us to offer additional financial services to all our customers, plus increase our lending limits helping Dwight, Seneca and the surrounding communities improve economically”

John H. Gardner and David G. Siebert board members of the First National Bank of Dwight and speaking on behalf of all the Directors stated “The First National Bank of Dwight was organized in 1906 to serve the financial needs of the people of this wonderful community and the surrounding communities we serve, which now includes the Seneca area. Peoples National Bank was established in 1928 for the same purpose in Kewanee, both driven to be outstanding community banks, something we are both very proud of.”

“It was extremely important to Rob and all our Board Members that we would be able to retain all our employees both here in Dwight and Seneca, so our customers would continue to receive the same friendly customer service they have been accustomed to from our staff.”

Maierhofer concluded, “As dramatic as this may seem on the surface, we are merging with an outstanding organization that understands the importance to be a Community Bank as much as we do, with a strong Capital Ratio which is one of the key measurements of the strength of any bank or financial institution. We will make the communities we serve here and in the Kewanee area stronger and more innovative as the banking world continues its rapid change.”

Eastman went on to thank Maierhofer, his staff, and the Board of Directors of First National Bank for this opportunity. The acquisition will increase Peoples National Bank's total assets by approximately $125 million resulting in total assets after acquisition of approximately $375 million. Peoples National Bank of Kewanee currently has branches in Annawan, Bradford, Manlius, Sheffield, and Tampico in addition to its two Kewanee locations. Of historical note, First National Bank's main office is the only Frank Lloyd Wright designed bank building still in existence.
